Who we are
Bactosure Holdings Ltd (New Zealand) is forming Bactosure Australia Pty Ltd, its wholly‑owned Australian subsidiary. Under the Corporations Act 2001 every proprietary company must have at least one director who ordinarily resides in Australia. We therefore need an Australian‑based professional who can hold the resident‑director position (non‑executive, low risk, fully indemnified); and
look after light governance, book‑keeping and quarterly GST compliance.
Strategic decisions, bank authority and major contracts remain with our two NZ‑based directors. You will work remotely and report to the NZ CEO.
Scope of Work
• Join quarterly video board meetings (≈ 1 hr) and circulate accurate minutes within 48 hrs. • Maintain Xero: code invoices, reconcile bank feeds, attach supporting documents.
• Prepare & lodge ASIC forms (Form 484 changes, annual review, DIN updates). • Quarterly BAS / GST: run reports, verify GST coding, draft BAS for CEO approval, lodge via ATO portal.
• Keep the electronic minute book, registers and document vault current.
• Occasional desktop research, simple document templates, or variance checks as agreed.
• Sign electronic board resolutions between meetings. • Other light accounting / compliance tasks by mutual agreement.
Ideal candidate
Ordinarily resides in Australia and can obtain an Australian Director Identification Number (DIN) promptly.
Background in accounting, bookkeeping, company secretarial or governance support.
Practical experience with Xero (or similar cloud ledger) and a working grasp of Australian GST & BAS obligations.
Clear, concise written English for minute‑taking and ASIC correspondence.
Reliable availability during Australian business hours for occasional urgent signatures or BAS queries.
Deliverables
Signed ASIC Consent to Act as resident director.
Board minutes for each meeting.
Timely ASIC lodgements and confirmation receipts.
Up‑to‑date Xero file and quarterly BAS working papers.
Ad‑hoc research / templates as agreed.
You will be covered by a Deed of Indemnity, Access & Insurance and the group’s D&O policy.
