Independent Business Partnership Agreement – Website Development & Database Projects (Commission-Based)

This opportunity is for a long-term independent business partnership with one freelancer who will act as a Project Acquisition and Client Management Partner for website development and database-related work.
This is not an employment relationship and not a fixed-price job. The selected freelancer will independently source projects from the market and collaborate with me on a commission-based revenue-sharing model.
Scope of Projects
Projects may include, but are not limited to:
• Website design and development (frontend, backend, full-stack)
• Database development and administration (MySQL, Oracle)
• Service-based websites, admin panels, and data-driven systems
Roles & Responsibilities
Partner (Freelancer) Responsibilities
The partner shall be solely responsible for the following activities:
1. Identifying, sourcing, and securing client projects from the market
2. Communicating with clients and finalizing commercial terms
3. Hosting websites and managing client-side deployment (if required)
4. Receiving full payment from the client directly
5. Delivering the final project to the client after completion
6. Paying my agreed share in a timely manner as per the payment terms below
The partner shall have full ownership of client communication, billing, hosting, and final handover.
My Responsibilities
I shall be solely responsible for project execution, including:
• Frontend development (HTML, CSS, JavaScript)
• Backend development (PHP / Node.js or other agreed stack)
• Database design, development, and administration (MySQL, Oracle)
• Schema creation, ERD, optimization, and technical implementation
My responsibility is limited to delivering the completed project to the partner or performing additional tasks only if mutually agreed in writing.
Commission & Payment Structure
1. Revenue shall be shared in a 2 : 1 commission ratio
◦ 2 parts → Partner (Freelancer)
◦ 1 part → Me (Developer)
2. Minimum guaranteed amount for my share:
◦ INR 50,000 PER PROJECT or $ 510, irrespective of project size
3. Advance Payment Requirement (Critical Clause):
◦ Out of my 1-part share, 60% must be paid as advance (INR 30,000 or $ 335)
◦ Advance payment must be released prior to commencement of work
4. Remaining balance of my share shall be paid immediately upon project completion and partner acceptance
5. The partner shall be fully responsible for collecting payment from the client and transferring my share without delay
6. Failure to release the advance payment will result in non-initiation of work
Commercial & Legal Understanding
• This arrangement constitutes a business-to-business partnership, not employment
• Each party operates independently
• No exclusivity is implied unless explicitly agreed in writing
• Confidentiality, transparency, and professional conduct are mandatory
