Reg D Attorney for Real Estate
Budget: $1,500 – $3,000 USD
I am getting ready to launch a series of real-estate investments for members of our property club and need an attorney who lives and breathes U.S. securities law—specifically Regulation D. This will be my very first SEC filing, so my top priority is rock-solid compliance from day one.
Here is the framework I have in mind:
• Every deal will sit inside a newly formed SPV; investors come in through that vehicle and receive a defined ROI.
• We will rely on a Reg D exemption, file the Form D on EDGAR, and observe all blue-sky notice requirements.
• I need airtight documents—PPM, subscription agreement, investor questionnaire, and an operating agreement for each SPV—that clearly spell out the terms and keep us within the SEC lines.
• Ongoing guidance on notice filings, disclosure updates, and any post-closing compliance would be ideal.
If you have a proven track record handling SEC registrations for real-estate funds and can steer a first-timer through the entire process without a hitch, let’s talk.
