I’m under LOI to purchase a software company that serves the industrial warehousing sector for roughly $2 million and need an experienced M&A partner to see the deal through closing.

Scope of work
• Due diligence – I already have preliminary data; what I need now is a rigorous financial analysis that pressure-tests revenue quality, customer concentration, margin sustainability and working-capital needs.
• Negotiation – Help me model alternative deal structures, craft counter-offers, and actively steer calls with the seller so we secure the best possible terms without derailing timelines.
• Contract drafting – Turn the agreed term sheet into a clear, investor-grade purchase agreement (SPA or APA) with the usual reps, warranties and indemnities appropriate for a software business.

– Stage: Signed LOI, data room open.
– Timeline: I’d like the full financial DD report within three weeks, followed by contract drafting and negotiation support through close.

Deliverables
1. Financial due-diligence memo (Excel model + written report).

3. Draft and final purchase agreement ready for signature, incorporating all negotiated terms.
