Reseller Agreement Specialist for EU Compliance

Legal Expert Needed for Reseller Agreement & EU Compliance (Competition Law)
I represent Stemregen Europe B.V., a subsidiary of Biomics USA, which sells dietary supplements in Europe. We are seeking a qualified independent lawyer to help us draft and review a reseller agreement that complies with Dutch and EU competition laws. The agreement needs to ensure that our distribution strategy aligns with both our commercial goals and legal requirements, particularly regarding pricing policies (e.g., Minimum Advertised Price or MAP), and compliance with EU competition law.
Key Responsibilities:
1. Review and adapt a U.S. reseller agreement for use in Europe, ensuring it is fully compliant with EU competition law.
2. Ensure compliance with Dutch and EU competition law, particularly in relation to pricing policies (e.g., MAP), distribution models, and potential resale price maintenance (RPM) concerns.
3. Advise on structuring a legal distribution model that is both effective commercially and legally compliant under EU regulations.
4. Provide recommendations for contractual clauses to maintain brand integrity, control over reseller behavior, and protect against pricing disputes.
Skills Required:
Expertise in EU competition law, especially in the context of commercial agreements, distribution contracts, and pricing policies.
Strong understanding of EU regulations on resale price maintenance (RPM) and selective distribution.
Experience in drafting and reviewing commercial contracts for companies operating in Europe.
Familiarity with biotechnology, dietary supplements, or regulated industries would be a plus.
Project Requirements:
Strong background in EU and Dutch commercial law.
Previous experience with reseller agreements and competition law compliance in the EU.
Availability to review and adapt documents promptly.
Deliverables:
1. A finalized reseller agreement that aligns with Stemregen’s business model in Europe.
2. A compliance review of the agreement to ensure full adherence to EU competition laws.
3. A summary of legal recommendations and any potential risks related to the distribution and pricing structure.
