This MOU and subsequent email, postal communication if any will also be an integral part of this agreement.
#### Preamble
The contracting parties intend to elaborate a business plan for a future joint collaboration, partnership, or other form of business opportunity on the designing, engineering, manufacturing, marketing, selling, and installing of Products in the territory of the Kingdom of Saudi Arabia (“KSA”) & MENA & AFRICA countries to meet the requirements of Local Content in this territory.
Whereas Wellness Dunya has approached Zetta to become a partner for starting Air Water Machines business in the country of Saudi Arabia (“KSA”) & MENA & AFRICA countries and Zetta has responded positively to their invitation. In order to have a global presence, Zetta decided to have a tie-up with Wellness in the Saudi Arabian & MENA & AFRICA Market.
### 1. Scope of Zetta
Zetta will become the exclusive partner for Wellness for their equipment in Saudi Arabia (“KSA”) & MENA & AFRICA countries. Zetta will supply Preassembled or Disassembled machines as per demand with all related accessories either in full package or only components. With mutual consent with Zetta if found feasible at a later stage, it will be integrated in Saudi Arabia by Wellness in their Manufacturing/Fabrication set up. The list of items supplied by Zetta will be provided subsequently by mail and it will be updated, added, or avoided based on technological changes coming up from time to time. The change in component price will be informed to Wellness via email or postal methods. Wellness should only use Zetta devices exclusively for fabrication/manufacturing and in no way in any circumstance should use any competitor products in the International Market unless permitted by Zetta in writing. Zetta, on the other hand, will not appoint any other distributor or partner for Saudi Arabia (“KSA”) & MENA countries.
### 2. Scope of Wellness
Wellness will set up an assembly facility in the Kingdom of Saudi Arabia for integrating items supplied by Zetta to make it a final product after due diligence of the Market and if feasibility permits otherwise Wellness will buy products in preassembled or partial assembled conditions to begin with. Wellness will market the product as Zetta Saudi & Japanese product. It will be marketed in the name of Wellness brand (H2O Cloud) in Saudi Arabia (“KSA”) & MENA & AFRICA countries Market as a new brand name depending on the type of agreement. The investment related to the setting of Fabrication is the sole responsibility of Wellness and will seek help from Zetta in setting up fabrication on Machines and Infrastructure required as well as all related technical consultation. In case Zetta wants to be a partner in the Saudi setup we can plan a JV.
### 3. Marketing
Wellness will be the exclusive Marketing Company on behalf of Zetta in Saudi Arabia (“KSA”) & MENA & AFRICA countries. The inquiries and sales leads in Saudi will be passed to Wellness that is received during the agreement period with Zetta. Wellness will appoint exclusive Marketing personnel to promote it in their country and their salary/incentive will be paid by Wellness. Wellness will make all good efforts to market and grab orders, execute production and maintain the units up to the satisfaction of the customers without undue complaints. The orders should be timely executed. Marketing tools such as danglers, posters, website, brochure, etc. should be carried out by Wellness both in English and Arabic. All Marketing Material Content provided by Zetta should align with the product specs and marketing approach. The local pricing of variants is at the discretion of Wellness. In addition, Wellness will handle all sales activities and support after sales, introduce Zetta to new potential customers, and attempt to attract investors like Saudi Aramco and the Saudi Public Investment Fund (PIF).
### 4. Payment Terms
The deposit shall not be less than 50%, and the balance 40% shall be paid before delivery and 10% after Material receipt at Wellness Warehouse in Saudi Arabia.
### 5. Period of MOU
This MOU is valid for a period of 5 years from the date of signing and can be renewed upon mutual consent on expiry.
### 6. Warranty
The components provided by Zetta will be valid for a period of 2 years. During the warranty period, either the components will be replaced or rectified by Zetta without charges. The components should be sent to Zetta office and either it is rectified or replaced. The courier charges for the same are to be borne by Zetta as per Warranty Clause. After the warranty period, Wellness should buy spares/components from Zetta and it is chargeable to Wellness. Only Manufacturing defects will be rectified or replaced during the warranty period. The consumables are not within the scope of the warranty and the list of consumables depends on the different models.
### 7. Despatch of Components
In normal circumstances, on receipt of an order from Wellness, Zetta will dispatch in 12 weeks. However, any extraordinary delay beyond the control of Zetta is to be agreed at the time of Order any situation like this foreseen should be intimated during order placement. Wellness needs to take care of shipping cost, insurance if required, inland transportation from their port to Wellness office, and Clearing and Forwarding Cost.
### 8. Training
Training of the Wellness team will be taken care of by Zetta. The training cost such as To & From travel of the team, Visa processing fees, food, and accommodation is to be borne by Wellness. Zetta will not charge anything as training fees for the Wellness team. If the Zetta team needs to visit Saudi Arabia for training and development of the wellness team, the cost of the Zetta team such as To & From travel of the team, Visa processing fees, food, and accommodation is to be mutually agreed. To be Mutually Agreed if Zetta decide to visit as per their will and wish Zetta will bear the cost.
### 9. Communication & Point of Contacts
It will be communicated in subsequent mails during the trading process starts.
### 10. Termination
Either party can terminate the MOU by providing 3 months notice and in case of ongoing projects or orders will be executed as per the terms of purchase Orders.
### 11. Arbitration
In the event of a dispute and in any way, it is not possible to continue the business, either Zetta or Wellness can issue notice and withdraw from the business. No legal proceeding should be done either in China or Saudi Arabia with regard to any trade dispute by Zetta or Wellness during the period of business or after termination of business.
