Need legal advise

I have been hit with a cease and desist letter and need to know how to properly respond. Moreover, I registered, created, and have been maintaining a website for a company with a my own tools and money for a year. The registration for the domain ends in a few days and I do not to intend to renew at least not in my name. I need to know what the legal ramification are if any since I am no longer associated with this business. I am however, willing to transfer it but the content will be gone once the scheduled cancellation take place.
