Legal documentation for third party manufacturing

We wish to engage a third party for manufacturing of your natural and organic skin care products. Initially manufacturer is providing few samples & then we finalized or modify as per our need of feel, smell & test. Manufacturer is making formulation for us only. We wish to have legal documents that protects us from all our claims mentioned below & also protect our formulation. We also wish that our manufacturer provides what was committed by him & finalized by us. We need contract manufacturing agreement. This agreement contains very important clauses such as quantity to be delivered, quality, test reports, intellectual property , indemnity, liability, NDA etc. We wish to cover all possible parameters to cover under contract manufacturing agreement including raw materials, acceptable quality criteria, rejections etc. Contract Manufacturing Agreement should cover the promoters, employees and contract workers of Third Party service providers so that your formulae is protected at all points of time.
