Legal agreement paper for partnership

I want an expert to prepare a "Partnership agreement" for me. I'm engaging a company who will engage the require manpower and logistics to build a mobile App and Web platform as per my ideation and guidance. Entire development, hosting, management of technical part, upgradation, renewal, data entry, store, backend management etc. etc. will be borne by the 2nd party. Sales and marketing cost and operations will be borne by me (1st party). I'll give 25% of my company share for this to 2nd party.

Need a legal expert to support me preparing this agreement. This agreement will be applicable for Bangladesh as well as any other country in the world.
