We are a startup with entities registered in Singapore, currently seeking a qualified legal advisor with expertise in corporate law, particularly in the area of startup law, to assist with a specific legal matter. The task involves reviewing a founders' agreement and issuing a legal notice based on the agreement's terms.
**Key Responsibilities:**
- Review and analyze a founders' agreement, specifically focusing on the cliff vesting clause.
- Provide legal advice regarding the forfeiture of shares/equity due to a co-founder’s departure before the cliff period.
- Draft and send a legal notice to the co-founder who has left, in accordance with Singaporean law, enforcing the forfeiture of shares as per the agreement.
- Ensure that all legal documentation and communication comply with Singapore's corporate laws.
**Requirements:**
- Must be a law student or legal professional in Singapore with a focus on corporate law, startup law, or business law.
- Prior experience in reviewing and drafting legal documents, particularly founders' agreements, is preferred.
- Excellent understanding of vesting schedules, cliff periods, and equity distribution.
- Strong attention to detail and the ability to interpret complex legal contracts.
- Ability to communicate legal concepts clearly and effectively.
