LEGAL: Write operating agreement between 2 partners one foreigner the other NY, USA

I need help with creating an operating agreement for a US based company, between a US based partner and myself- a foreign partner. We have drafted the main conditions of the partnership and we want the freelancer to finish a formal operating agreement adding or proposing all necessary legal clauses and conditions or terms freelancer might think we need to add and was not taken into consideration. We do not want someone to just use Chat GPT (we have tried but we are not satisfied with the result), on the contrary we want freelancer to add all necessary terms or conditions we have not thought of protecting both partners and review/propose modification for partnership disolution terms. Freelancer must have knowledge or experience with USA law. We dont know yet the structure (corp, or llc) for the organization as we need to hire tax advise, however comments are welcome
