Enhancing Legal Contract with Special Clauses
Budget: $10 – $30 AUD
I'm seeking assistance from a legal expert to integrate additional special clauses into an already existing legal contract. These are:
1. Confidentiality Clause: This clause should go beyond the standard format. The specifics of this clause should include:
- Strict restriction on information disclosure
- Prohibition on the use of information for personal benefit
2. Non-compete Clause: This will prevent conflict of interests and guarantee loyalty to our business.
3. Termination Clause: Important for defining the circumstances under which the contract can be terminated.
4. Personal Guarantee Clause by the Manufacturer so as not to cause delays in production and losses from poorly timed deliveries
5. That they will BUILD A Highly educated Team Within Their Business to fully develop, maintain and IMPROVE on deliveries to our Global client base
6. That they give an unconditional Gurantee that they WILL NOT POACH any/ALL of our clients/Customers and that they will pay a substantial sum by way of their default, if they breach this confientiality amongst our customers / clients ...
7. A covenant of a 7 year hiatus is to apply to avoid contact with our clients should we abrogate any/ALL dealings ... and this to apply FROM THE DATE that we send them a Cease and desist notice for their breach of confidentaility and their fiduciary obligations to us under our contract.
THIS HAS TO BE AIR-TIGHT
Ideal candidates should have substantial experience in legal writing - particularly in drafting confidentiality, non-compete, and termination clauses. They would perfectly understand the implications, understandings, and requirements of these clauses, and their implementation in a contract. This project necessitates precision, so an eye for detail will be highly beneficial. Familiarity with international law will be an advantage due to our international dealings.
SUCCESS FEE: $50 aud PROVIDED THAT you give me
a) Personal Gurantee to complete this task by an agreed timeframe and
b) UNLIMITED REVSIONS to protect us from unscrupulous contractors.
