Definitive License Agreement Drafting -- 2
Budget: $250 – $750 USD
I am looking for a comprehensive license agreement to be drafted for the long-term covering a specific industry/product. The licensor is a German company that holds a German-issued patent for an industrial product. It does not have a patent for China yet. And I am the licensee that will be granted irrevocable and unlimited license for this industrial product in Mainland China and Hong Kong. The purpose of the license is to ensure me ,the licensee, the ability and right to manufacture and sell the product in the territory. I have a term sheet already, just need to turn it to a definitive license agreement. In this term sheet, the licensor talks about handing over equipment(selling), and certain documentation, but I also need him to help me in my setting up the workshop to manufacture the product. I will need the licensor to cooperate in giving information that helps me from start to finish in the manufacturing process.
I understand the importance of this agreement and need someone with expertise in this area to ensure that all legal parameters are taken care of in the drafting process. The agreement must be binding and airtight to last for an indefinite period.
I'm looking for someone with a keen eye for detail who can capture all pertinent information related to the licensing agreement and create a legally binding document, for example, along with the tangible assets(machinery) that licensor will transfer to me, the specific assistance(intangible, knowledge about manufacturing and material) that licensor is going to provide. And as this is a long-term contract, the language used must be precise and easy to understand by both parties.
Knowledge or familiarity with licenses and applicable law and manufacturing are a definite plus. My priority is to ensure that all nuances of the agreement are captured and understood.
