Create a business contract (lawyer preferred)

The business contract would be an exclusivity contract between our client and our company. This exclusivity contract would detail the exclusive rights for our clients to purchase from us a category of items, and this will disallow them from purchasing from our company's competitors. The contract would detail the protection for our client, in exchange for giving us the exclusivity rights. For example, in exchange of the exclusivity rights, we guarantee to provide our client technical support and offer complete after-sales services for the products that they purchase from us. The contract would also consider the fairness for our client, for example, in the event that we cannot supply any item within target delivery date, this will be the only time they will be allowed to purchase from our competitors.
