Corporate Legal Counsel - Local LLC (HCMC, Vietnam)

Job overview
We are seeking an experienced Vietnamese corporate lawyer to support the incorporation and compliance setup of a new local LLC.
The role focuses on corporate establishment, regulatory filings, and ongoing compliance under Vietnamese law.
The lawyer will work independently, coordinating directly with the management team, and act as the main point of contact for all legal procedures related to registration and governance.
Key responsibilities
1. Advise on the most suitable legal structure for establishing a new company in Vietnam
2. Prepare and review incorporation documentation, including the company charter, bylaws, and registration forms
3. Handle all filings and post-registration procedures with government authorities such as the Department of Planning and Investment (DPI) and the General Department of Taxation (GDT)
4. Ensure compliance with relevant laws and regulations, including enterprise, labor, and tax requirements.
5. Obtain and maintain necessary certificates or permits related to business registration
6. Draft and review standard contracts and internal policies
7. Provide ongoing guidance on general corporate, labor, and compliance matters
8. Maintain organized legal documentation and identify potential legal risks proactively
Qualifications
1. Licensed attorney in Vietnam with expertise in corporate and commercial law
2. Minimum 5 years of experience in company incorporation, legal compliance, or corporate advisory
3. Proven ability to manage full incorporation and regulatory processes independently
4. Strong understanding of Vietnamese enterprise and labor laws
5. Experience with foreign-related or cross-border clients is an advantage
6. Excellent communication skills in both English and Vietnamese
7. High integrity, professionalism, and attention to detail
Engagement & Compensation
1. Remote, with in-person appearances only when required for filings
2. Schedule: $25 hours per week, flexible
3. Compensation: Hourly rate (to be proposed by candidate)
4. Contract type: Independent consulting agreement
