BACKGROUND:
I am an independent contractor who recently entered into two separate agreements with a client company:

1. An Independent Contractor Agreement (ICA) governing services and compensation.
2. A Source Code Transfer Agreement (SCTA) related to specific software IP I developed.

CURRENT SITUATION:
A dispute has arisen regarding the terms and interpretation of these agreements. The client company is attempting to unilaterally alter the compensation structure outlined in the ICA and has presented interpretations of contract modification, termination, and severance clauses that seem questionable.
