1. Setup of a local legal entity (a subsidiary of Natel Consulting in Portugal)

Principally, our legal services will involve the following acts:

a. Drafting of Power of attorney of the French shareholder concerning the incorporation of the subsidiary in Portugal;
b. Obtaining of Portuguese Tax Identification Number for the single shareholder;
c. Tax representative in Portugal for the single shareholder during the first year, if necessary;
d. Obtaining of certificate issued by the Portuguese relevant authorities approving the corporate name of the subsidiary to be incorporated;
e. Obtaining of Portuguese Tax Number for the manager or the managers of the subsidiary to be incorporated;
f. Tax representative in Portugal during the first year for the manager or managers of the subsidiary to be incorporated, if necessary;;
g. Articles of association of the only owned subsidiary in Portugal in French or English language and in Portuguese language;
h. Registration procedures of a single-member subsidiary of Natel Consulting before the Portuguese Commercial Registry Office, including registration of the managers;

2. Drafting of Employment Agreement to be entered by the Subsidiary of Natel Consulting in Portugal and an employee to be hired

Analysis of legal regime and drafting of an employment agreement to be entered between the subsidiary of Natel Consulting in Portugal and an employee to be hired;
