Convertible Note Draft Revision

I’m preparing a seed-stage round and have chosen convertible notes as the instrument. I already have a working draft, but I need an experienced equity consultant to tighten the language, flag any investor-unfriendly clauses, and align the terms with market standards for early-stage funding.
Here’s what I expect:
• A red-lined version of my current note reflecting all recommended changes
• A clean, final version ready for signature
• A concise memo (one page is fine) explaining key terms—valuation cap, discount, maturity, interest, and conversion triggers—so I can speak to them confidently with investors
You should be comfortable with U.S.-style convertible notes, understand typical seed funding expectations, and be able to turn the documents around quickly. I’ll supply the existing draft and background about our cap table the moment we start.
