Legal Review of Startup Fundraising Agreement - SEBI-related compliance understanding

We are a finance/startup venture currently reviewing a fundraising and investor introduction agreement associated with an AIF/Angel Fund structure.

We are looking for an experienced corporate lawyer/legal consultant with strong expertise in:

- Startup fundraising documentation
- AIF / Angel Fund agreements
- Investment banking & placement structures
- SEBI-related compliance understanding
- Commercial contract negotiations

Scope of Work:

- Conduct a detailed legal and commercial review of the agreement
- Identify risky, one-sided, or founder-unfriendly clauses
- Review fee structures, tail clauses, liability exposure, exclusivity, and compensation terms
- Suggest modifications/redlines to protect the company’s interests
- Provide practical negotiation recommendations before execution

Preferred Experience:

- Prior experience working with startups, VCs, AIFs, angel networks, or investment firms
- Strong understanding of Indian corporate and fundraising regulations
- Experience reviewing MoUs, SHA, SSA, fundraising mandates, and placement agreements

Deliverables:

- Clause-by-clause review
- Risk summary in simple language
