Background & Context
We are a Turkey-based company that has maintained a reliable, long-term working relationship with a respected software development company in India. This collaboration has matured into a comprehensive managed service model in which the Indian team is responsible for the technical operations of our cloud infrastructure, including:

Server architecture and management (primarily on AWS)

Code optimizations and system updates

Compliance support and database operations

Our company fully owns all intellectual property, licenses, and outputs generated through this collaboration. The Indian service provider acts solely as a third-party contractor and is compensated through international freelancer platforms such as Upwork, Fiverr, or Freelancer.

No Turkish-origin personal data is stored or processed on Indian servers. All data—consisting of global user information from multiple countries—is securely hosted on international platforms such as AWS, Google Cloud, and other globally recognized third-party infrastructure providers. The Indian service provider does not directly handle or store end-user data on local servers.

Objective
We aim to formalize this collaboration through a legally binding international IT services agreement, ensuring full legal recognition in both jurisdictions (Turkey and India), and aligning with applicable international legal standards.

Scope of Legal Services
We are seeking an experienced international legal consultant or law firm to assist in:

1. Drafting a comprehensive agreement that includes:
Scope of work, deliverables, and SLA

IP rights and ownership clarification

Liability, indemnification, and confidentiality terms

Data protection clauses (including GDPR, if applicable)

Jurisdiction, dispute resolution (e.g., ICC, UNCITRAL)

Termination and review clause provisions

2. Legal guidance on:
International legal frameworks for recognition and enforceability

Proper use of cross-border e-signature tools (e.g., Adobe Sign, DocuSign) with legally binding authority

Optional certification, notarization, or apostille procedures if required

3. Deliverables:
Finalized, mutually accepted International IT Services Agreement

Legally valid document, signed and officially recognized by both parties

Memorandum summarizing both parties’ rights and obligations in plain language

Legal documentation and instructions confirming that:

All steps have been completed

Agreement is enforceable under the relevant jurisdictions

No further actions are required for validity or execution

Completion Requirement
The project will only be considered successfully completed when:

The agreement is fully signed by both parties using legally valid methods

All documents are officially prepared, certified (if needed), and delivered

The agreement is recognized and enforceable in both Turkey and India

Any additional legal registrations or international recognitions (e.g., via Apostille, ICC registration, etc.) are completed and documented
