Our company, based in Turkey, has been collaborating with a reputable software development company located in India for a considerable amount of time. This relationship has been built on mutual understanding, respect, and trust. We have worked together on several projects, and our cooperation has now evolved to a point where all server infrastructure, database management, and administrative control are being handled by our partner company in India.
To ensure the long-term sustainability, transparency, and accountability of this business relationship, we now seek to formalize our partnership through a legally binding agreement that reflects international standards and is recognized in both jurisdictions.
Objective:
We are seeking an experienced international legal consultant or law firm to assist us in:
Drafting a comprehensive international IT services agreement that clearly defines roles, responsibilities, liability clauses, data protection terms, cross-border agreements and jurisdiction-related matters.
As well as applicable international regulations (such as cross-border data transfer, intellectual property, GDPR-compliant clauses, if needed).
Recommending appropriate legal bodies or international organizations (e.g., UNCITRAL, ICC, or equivalent) under whose jurisdiction this agreement could gain enforceable legal validity.
Assisting in the official signing process, possibly through e-signature platforms with recognized cross-border legal value (e.g., DocuSign, Adobe Sign, etc.).
Advising on any risk mitigation strategies related to long-term infrastructure and data control being operated abroad.
Deliverables:
A finalized and mutually agreed legal draft of the international cooperation agreement.
Legal guidance on recognition, enforcement, and possible registration of the agreement with appropriate authorities.
A memorandum outlining each party’s rights and obligations in layman’s terms.
Optionally, a review mechanism clause for the periodic evaluation of the agreement.
