Project Description:
I am seeking a UAE-qualified lawyer with proven experience working with IFZA (International Free Zone Authority – Dubai) to conduct a comprehensive legal review of a contractor agreement prior to execution.
This agreement forms part of a cross-border structure between:
An IFZA-registered Dubai company
An Australian company
This is not a basic proofreading task. I require a detailed legal compliance review covering IFZA regulations, UAE federal laws, contractor classification risks, tax implications, and operational exposure.
Scope of Work
Please conduct a full legal analysis covering the following:
1. IFZA Regulatory Compliance
Confirm whether all clauses comply with IFZA regulations and free zone requirements.
Identify any provisions that may conflict with IFZA licensing conditions.
Flag any operational risks that could expose the company to fines, suspension, or regulatory penalties.
2. Independent Contractor vs Employment Risk
Assess whether the agreement properly supports independent contractor classification under:
UAE Labour Law (Federal Decree Law No. 33 of 2021)
Identify any clauses that could result in misclassification as employment.
Highlight risks relating to:
Control and supervision
Exclusivity
Payment structure
Visa sponsorship
Integration into company operations
3. Corporate Tax & VAT Implications
Review alignment with:
UAE Corporate Tax Law (Federal Decree Law No. 47 of 2022)
UAE VAT Law (Federal Decree Law No. 8 of 2017)
Assess deductibility of contractor payments.
Flag any Permanent Establishment (PE) risk due to the Dubai–Australia structure.
Identify any transfer pricing or related-party exposure (if applicable).
Confirm VAT handling is correctly structured.
4. Immigration & Work Authorization Risk
Confirm whether the structure complies with UAE visa and work permit regulations.
Identify exposure if the contractor is UAE-based.
Flag any immigration-related non-compliance risk.
5. General UAE Commercial Standards
Identify clauses that fall below standard UAE commercial practice.
Highlight missing protections (IP ownership, indemnities, liability caps, confidentiality, termination rights, restrictive covenants, etc.).
Flag any materially unbalanced or legally weak provisions.
6. Dispute Resolution (High-Level)
Identify any major red flags in governing law or enforcement.
No need for deep arbitration analysis — just material risks.

Each finding must:
Reference relevant IFZA regulation or UAE statute.
Clearly state whether the clause passes or fails.
Explain the issue in plain English.
Provide recommended corrections where necessary.
