I am preparing a China-based operating company, held through a newly-formed UK entity, for a Hong Kong Stock Exchange listing. My priority is a clear, defensible legal opinion and practical guidance that satisfies HKSE Listing Rules at the application stage.

The work calls for a full review of both the PRC business and the UK holding structure, identification of any red-flag issues, and production of the initial submission pack. I must be certain that every item required under Appendix 1A/Form A1 is complete, that the corporate governance framework matches HKSE expectations, and that our timetable lines up with sponsor and regulator touch-points.

Deliverables
• Red-flag due-diligence report covering the PRC and UK entities
• Formal legal opinion on eligibility for HKSE Main Board listing requirements, ready for sponsor submission
• Drafts of all core filing documents (Form A1, constitutional amendments, directors’ confirmations, compliance checklist) with a step-by-step procedural roadmap
• A short issues log and recommended cures for any compliance gaps discovered during the review

Acceptance criteria
The legal opinion must cite the relevant HKSE Listing Rules and reference supporting documents; all drafts should be in editable Word format; the procedural roadmap must include key dates, responsible parties and filing venues.

Familiarity with HKSE Listing Rules, SFC codes, PRC offshore investment regulations, and UK company law is essential, and I will provide data-room access once an NDA is executed.
