Equity Investment Contract Drafting

I need a lawyer-drafted equity investment agreement that clearly spells out every obligation between my company and the incoming investor. Although the stake will be structured as equity, I also want a fixed-rate return clause included so the investor receives a predictable interest-like payout alongside their shareholding.

The contract has to cover the usual ownership provisions—share class, voting rights, information rights, exit events—as well as the fixed rate mechanism, its payout schedule, and any conditions that might suspend or terminate those payments.
