Business Acquisition Specialist Needed

I am acquiring a small sailing school business in New Jersey and need practical, limited-scope professional support to make sure the transaction is legally and financially clean.

The business operates as a sailing school in the New York Harbor / New Jersey area. I am the buyer, based in the Netherlands, and the seller is the current owner/operator. I already have a draft purchase/cooperation agreement and a general deal structure, but I need an experienced US professional to review the structure, identify risks, and help prepare the closing properly.

The main areas I need help with are:

1. Review of the purchase agreement from the buyer’s side
2. Confirming whether the transaction should be structured as a stock/share purchase or asset purchase
3. Checking the consequences of the company’s current or prior S-corporation status and whether it needs to be converted/terminated before closing
4. Reviewing the seller payment structure, including any deferred payment / seller note / fixed earn-out style payment
5. Reviewing or preparing escrow instructions and closing conditions
6. Making sure the escrow setup is neutral, practical, and acceptable for funds coming from Europe
7. Checking whether New Jersey bulk-sale rules or tax escrow requirements apply
8. Identifying hidden liability risks, including taxes, debts, customer credits, prepaid memberships, contracts, marina agreements, insurance, employees/contractors, and operational obligations
9. Preparing or reviewing the closing checklist and closing documents
10. Advising on what documents I should request from the seller before closing

I am not looking for a large, expensive full-service M&A process. I am looking for someone practical and experienced with small business acquisitions who can work efficiently, preferably on a fixed-fee or clearly limited-scope basis.

The goal is to make sure the transaction is safe, enforceable, and properly documented, without overcomplicating the process.

Relevant background:
- Buyer is a Dutch national acquiring a US business
- Business is located/operates in New Jersey
- Funds will likely be sent from the Netherlands/EU into a US escrow account
- The transaction may be relevant for an E-2 visa/business investment structure, so buyer control, personal investment risk, and proper documentation matter
- I already have a draft agreement and can provide it for review
- I would like to move efficiently toward closing once the structure is confirmed
