U.S. Commercial/Business Attorney Needed for Delaware Company – Contracts Review & Drafting
Budget: $250 – $750 USD
- We are a Delaware-registered company with international ownership seeking an experienced U.S. business attorney to review, revise, improve, and finalize several core commercial agreements for our business operations.
- We are looking for a professional attorney with strong experience in U.S. commercial law, B2B transactions, supplier relationships, and cross-border business operations.
- This is not a basic template-editing project. We are looking for someone who can identify legal risks, strengthen enforceability, improve commercial protection, and help structure professional agreements suitable for long-term business use.
Scope of Work:
The selected attorney will review and edit the following agreements:
1. Sales / Purchase Agreement
2. Supplier Agreement / Vendor Contract
3. Employment Agreement / Independent Contractor Agreement
4. General commercial clauses and legal protections
Potential tasks include:
1. Reviewing existing drafts and completing missing sections
2. Revising legal language and contract structure
3. Improving liability protection and risk allocation
4. Strengthening payment, delivery, warranty, indemnification, and dispute clauses
5. Ensuring U.S. legal consistency and enforceability
6. Advising on Delaware-related legal considerations if applicable
Preferred Qualifications:
1. Licensed U.S. attorney
2. Experience with international ownership companies
3. Strong background in commercial contracts and international business
4. Experience working with manufacturers, distributors, suppliers, or import/export businesses preferred
5. Ability to communicate clearly in English and provide practical legal recommendations
