CFO/CPA needed for M&A US Branch. Able to create Proforma, perform financial due diligence. Equity provided.
Budget: $15 – $25 USD
We are a private investment firm (startup) based in Kuala Lumpur Malaysia. We will be incorporating in US delaware this month. We are attempting our first acquisition. We will be acquiring e-commerce companies in evergreen sector (sports equipment, house appliance, beauty) priced between 1 to 5 mil USD (2-3X Ebitda).
We are looking for a CPA accountant/CFO that able to:
1. Build pro-forma financial statements and related M&A financial documentation, with strong emphasis on due diligence to minimize risks around Quality of Earnings.
2. Develop financial projections to support fundraising initiatives (we have a completed pitch deck).
3. Handles the overall financials of the holding company. (if your experience is heavily in M&A and fundraising but not financial management, its fine we could hire bookeeper.) This is an added advantage.
For our first deal we are looking for success fee basis with you, meaning the fee will be included in the closing cost of the acquisition. In return for taking the risk, I would provide 3% equity in the holding company. The holding company will have multiple acquisition thus growing the value of 3% over the years. Monthly salary will be included and will grow in tandem with the number of acquisition we make. Once we have done our first deal the subsequent deal we will pay upfront. Our target acquisition price range at the moment is 1 to 5mil USD (we have financing available), once we're comfortable in this range we will seek higher range.
I will make preliminary due diligence on target companies so we wont be wasting our time.
