Excel - transfer data

We have 2 excel files. Where file nr 1 is having new article numbers for pricelist. File nr 2 has some of the same articles but not the new ones.Must take the new prices on file 1 and update that same articles with new prices in file nr 2. And also transfer the articles that is not in file 2. This is express job and needd to be done today.
