Paralegal Needed – LLC Documents, IP Assignments & International Agreement Drafting
Description:
I’m looking for a U.S.-based paralegal or experienced corporate legal assistant to help organize and draft the legal documentation for a new technology company based in Florida with an affiliated entity overseas.
The work includes preparing and structuring key startup legal documents (Operating Agreement, intercompany agreements, IP assignments, NDAs, and contractor templates) and organizing a basic corporate legal folder (“data room”).
No legal advice is required — only professional document drafting and formatting for later attorney review.
Requirements:
Experience with U.S. LLC structures and intellectual property transfers.
Strong written English (bilingual English/Spanish a plus).
Experience with tech or startup documentation preferred.
Deliverables (general):
Operating Agreement (2 members, manager-managed LLC)
Intercompany Service & IP Assignment Agreements
NDA / MSA / SOW / IP & Token Addenda templates
Drafts of ToS, Privacy Policy, and Trademark/Copyright filings
