LLP Agreement Legal Review
Budget: ₹600 – ₹1,500 INR
I have an existing LLP Agreement that needs to be reviewed and refined before filing Form 3 with the Ministry of Corporate Affairs (MCA).
I am seeking only a corporate lawyer with proven expertise in Indian LLP law and MCA compliance (seniority is not mandatory, but corporate law experience is essential).
The agreement must be reviewed clause-by-clause to ensure it is legally robust, commercially sound, and fully compliant with the LLP Act, 2008 and current MCA guidelines.
Scope of work includes:
– Partnership terms and structure
– Capital contribution, ownership, and profit-sharing
– Roles, responsibilities, and authority of partners
– Decision-making and voting rights
– Indemnity, liability, and limitation provisions
– Partner admission, retirement, death, and expulsion
– Dispute-resolution mechanism
– Form 3–related compliance requirements
Deliverables:
LLP Agreement with suggested clause-level edits (tracked changes or comments)
A concise explanation of key changes required for legal soundness and successful Form 3 filing
If the quality of work meets expectations, this engagement may lead to repeat projects and a long-term association as our corporate lawyer, including final drafting and MCA e-filing support.
