Indonesian Corporate Lawyer for Pialang Berjangka Acquisition

Job Title: Legal Counsel / Corporate Lawyer – Pialang Berjangka License Acquisition (Indonesia)

About the Company:
We are a global fintech service provider helping clients expand into the Southeast Asian market. We are currently seeking an experienced Indonesian lawyer to assist with the acquisition of a Pialang Berjangka (Futures Broker) licensed entity, ensuring full compliance with BAPPEBTI regulations and local corporate law.
Role & Responsibilities:
Provide legal advice and strategy for acquiring an existing Pialang Berjangka licensed company.
Conduct comprehensive due diligence on the target entity, including corporate records, licenses, contracts, regulatory compliance, and potential liabilities.
Draft, review, and negotiate all necessary sale and purchase agreements, shareholder agreements, and corporate contracts.
Liaise with regulatory authorities (BAPPEBTI), auditors, and other local advisors to ensure the acquisition meets all legal and compliance requirements.
Advise on post-acquisition entity restructuring, governance, and compliance obligations.
Provide timely risk assessments and legal updates to the client throughout the acquisition process.
Requirements:
Licensed Indonesian advocate (advokat) with proven experience in corporate law and financial services regulation.
Demonstrated experience in acquisitions of BAPPEBTI-licensed entities, particularly Pialang Berjangka.
Strong knowledge of Indonesian corporate law, investment regulations, and licensing transfer procedures.
Excellent English communication skills (written and spoken).
Ability to work independently, manage deadlines, and handle confidential information professionally.
Preferred:
Experience with cross-border M&A involving Indonesian financial entities.
Familiarity with fintech or digital asset regulatory frameworks in Indonesia.
