Job Description:
We are looking for an experienced Indian lawyer or legal consultancy to assist in the end-to-end process of setting up an Indian subsidiary and obtaining a SEBI Investment Adviser (IA/RIA) license. Our client is a foreign-owned entity preparing to provide investment advisory services in India.
Scope of Work:
Indian Company Incorporation:
Incorporate a Wholly Owned Subsidiary (Private Limited Company) in India.
Draft and file all required documents (MOA, AOA, SPICe+ filings, etc.).
Liaise with ROC and RBI for foreign direct investment reporting.
Advise on capital requirements, office setup, and compliance obligations.
SEBI IA/RIA License Application:
Review client eligibility and ensure compliance with SEBI regulations.
Prepare, compile, and submit all application documents to SEBI.
Coordinate with SEBI and respond to queries during the review process.
Advise on infrastructure, staffing, and NISM certification requirements.
Additional Legal Support:
Provide guidance on annual compliance obligations under SEBI regulations.
Optional: Assist with SEBI-related advisory or litigation, if required.
Requirements:
Proven experience in SEBI IA/RIA license applications for foreign-owned entities.
Knowledge of Indian corporate law, FDI regulations, and SEBI Investment Adviser Regulations.
Ability to communicate in English with clear documentation.
Willingness to provide anonymized references or case studies of past successful applications.
Deliverables:
Successfully incorporated Indian subsidiary ready for SEBI application.
Complete SEBI IA/RIA application submitted and tracked until registration number is granted.
