UK-Based Nominee Director and Shareholder for Consulting Company

Project Description:
We are looking for a UK-resident professional to serve as Nominee Director and Nominee Shareholder for a UK-registered consulting firm. The company delivers expert services in research and innovation funding, supporting startups, universities, and public institutions across Europe.
The business operates fully remotely and requires a nominee structure to ensure that formal management and control remains in the UK. The beneficial owners are based abroad and will handle all operational, commercial, and financial activities.
Nominee Director – Responsibilities
-Be listed as sole director and sole PSC (Person with Significant Control) at Companies House
-Sign company documents such as board resolutions, confirmation statements, and accounts
-Use a UK-based email and signature block provided or approved by us
-All documents are prepared by our team — no legal review or discretion required
-No access to bank accounts, no financial authority, no client interaction
-Availability to confirm UK-based governance to banks or third parties if needed
-Willing to sign standard nominee documentation (resignation letter, PoA, NDA, etc.)
Nominee Shareholder – Responsibilities
-Hold 50% of shares as nominee (no economic rights)
-Sign a Declaration of Trust confirming our beneficial ownership
-Sign a Dividend Waiver Agreement
-Provide a pre-signed Share Transfer document to allow share recovery at any time
-No voting or control rights
What We’re Looking For
-Based in the United Kingdom
-Background in corporate law, compliance, accounting, or governance
-Experience with nominee services (ideal but not essential)
-Responsible, discreet, and responsive
-Willing to engage on a yearly renewable basis
Additional Information:
-The nominee structure is strictly formal and passive
-All documents will be signed electronically
-We are happy to sign indemnity and confidentiality agreements as needed
-No interaction with HMRC, banks, or regulators unless formally instructed
