Usage agreement

Looking for someone to word a 1 or 2 page generic agreement and terms of usage between me (the inspector ) and the vendors I inspect or monitor . I monitor the vendors through a vpn and i connection to their operations systems and I view reports . I need to give this document to the vendors to sign and it just states or do 5 things ;

1. protect us as inspectors in terms of liability and indemnify us from being held account ie we aren’t responsible for any breaches or data loss from correct use as the vendors create the accounts for us and give us access

2. Make and commit the vendors who’s databases and system we access accountable/responsible for insuring they have security measures eg firewalls and antivirus to protect and insure their data and to make sure their data isn’t accessible or manipulated by unwarranted 3rd parties

3. to make the vendors accountable for the accuracy and completeness of the information and data they give us access to . This information and data must at all times be live data (live reports) not dummy data , and is correct , not manipulated to evade us as the monitoring and inspecting authority

4. we must assure them that their information will only be used for the intended use and will not be incorrectly disclosed or used for any other purposes

5. also let them know that us as The authority however are liable to disclose information as and when required by the law of the country in the case of legal warrants or legal proceedings

And any other additional related clauses beneficial clauses
