Strategic Partnership Agreement

I have a Strategic Partnership Agreement I would like drafted. My software development company is entering an agreement with a game development company. My company is providing funding for one of their game projects in exchange for 49% control/revenue of the project. The other company is giving my company at-cost development for one of our game projects as well as for their game project we are funding. I need a SPA drafted that details our agreement and intents as well as rules about profit distributions, ownership, rights of first refusal for sequels and expansion content, etc.
