Assistance with Forming a US LLC for Patent Commercialization & Fundraising
Project Description:
I have a pending US patent application for a novel torsion spring mechanism and am currently preparing for its commercialization in the United States. I am seeking a qualified and experienced freelancer to assist with setting up a Limited Liability Company (LLC) in a US state that offers the most favorable legal environment for:
• Startup fundraising (angel/VC-friendly)
• Stock sales and equity issuance
• Founder/shareholder agreements
• Intellectual property (IP) protection and transfer
Important Note:
At this stage, the patent application is still pending. I intend to transfer ownership of the pending application to the LLC shortly after its formation and, once the patent is granted, I plan to formally license the patent rights to the startup for commercial use. The goal is to align the IP with the company for long-term growth, partnerships, and funding opportunities.
What I’m Looking For:
A freelancer with demonstrated experience in:
• US business entity formation (LLC, particularly for IP-heavy startups)
• Recommending optimal states (e.g., Delaware, Wyoming) based on fundraising, legal, and tax considerations
• Filing formation documents and obtaining EIN
• Drafting an IP assignment agreement for a pending patent application
• Advising on IP licensing structure post-patent grant
Optional (but a plus):
• Familiarity with tech startups, especially in the hardware or mechanical invention space
• Experience with cap tables and founder vesting arrangements
Deliverables:
• Formation of a US LLC with relevant documents
• Operating Agreement tailored for IP commercialization and future fundraising
• IP Assignment Agreement (pending patent to LLC)
• Draft License Agreement template (for post-grant licensing to the LLC)
• Strategic guidance for early-stage investment readiness
