Draft Purchase Agreement

Draft a Purchase Agreement for equipment, a similar exclusivity purchase agreement will be provided. Would be to essentially draft the same agreement but without the exclusivity clauses and improve/include anything missing/necessary, for it to be a legal document in the US and provide suggestions.
