A memorandum of understanding between Alberta Trading Company and Keryas paper industry.
Whereby it is agreed between the parties as follows:
1. That the first party (Aberta Trading Company) is hereby appointed as the sole agent for the second party (Keryas Paper Industry ) of the principal for the trading and distribution of Keryas paper industry products in Yemen Market.
The purpose of making sales of the products/goods of the principal for a term of five years commencing from the date hereof on the terms and conditions set forth hereunder.
2. That Alberta shall be the only representative and sole agent for Keryas paper industry in Yemen market.
(i) That the said products/goods of the principal shall not directly or indirectly be sold to another trader or customer directly or indirectly in Yemen market.
3. All sales shall be made for CAD 60 days through bank or with standby LC payments 60 days.
4. The first party (Alberta) shall in all his commercial dealings and on documents, websites or letter-head indicating his place of business, describe thier self as a selling sole agent and disturbtor for the second party (Keryas) for the principal in Yemen market.
5. The second party (Keryas) shall in all his commercial dealings and on documents, websites or letter-head indicating his place of business, describe the first party (Alberta) as selling agent for the principal in Yemen market
6. The products shall be as the agreed specifications on the contracts and in case of any discrepancies in the specifation after receving the porducts the first party(Alberta Trading Company) has the right to return back the shipment on the second party expenses or to claim for compensation payment which shall be agreed and paid to the customer.
7. The second party (Keryas) shall always give the first party(Alberta) the priority in term of material availablity and best competitive price as well.
8. The first party (Alberta) has the right to work as a trader and add thier margin on the received offer from the second party (Keryas) or to work as a broker and the second party shall grant a USD 30/mt as a commesion to Alberta to be paid after receiving the depit note from the first party( Alberta).
9. All contracts, documents, agreement and payment between two parties shall be between Alberta trading company in UAE and Keryas paper industry in Oman.
10. That either party may terminate this agreement at his option at any time after the
expiration of five years by giving the other one month’s notice in writing.
11. That the benefits under this agreement shall not be assignable to any other person.
