SaaS Contract Review and Negotiation

I’m looking for a seasoned commercial lawyer who can jump straight into my queue of technology and SaaS agreements. Most of the work centers on master service agreements (MSAs), API licenses, data processing addendums (DPAs), service-level agreements (SLAs), plus the occasional set of online T&Cs and platform licensing terms. These contracts are negotiated with sophisticated enterprise customers, so you’ll be expected to redline confidently, explain positions to counterparties, and draft fresh clauses when the negotiation calls for it—all while keeping the final document lean enough to close quickly.
Key issues you’ll tackle day-to-day include liability caps and carve-outs, indemnities, IP ownership, and usage rights. You should be fluent SaaS, PaaS, API licenses, EULA, and major data protection regulations such as the GDPR/UK GDPR, HIPAA, and CCPA so you can tighten privacy and security schedules.
Typical workflow
• I forward the incoming redlines or a clean draft.
• You return a marked-up version (Track Changes or equivalent) with explanatory comments I can forward internally.
• We rinse and repeat until signature.
