I need a well-structured service provider agreement that grants my company nationwide exclusivity while safeguarding the proprietary methodology we will supply to the provider. The scope of work the contract must cover is straightforward: the provider delivers our services under our brand, but cannot operate, sublicense, or partner with anyone else within the country.

Intellectual-property language has to focus on protecting the methodology itself—its components, documentation, and any derivative know-how—so that ownership remains entirely with me and any use beyond the project requires my written consent.
