Budget: $250 – $750 USD

I’m looking for a securities-savvy attorney to take the working drafts I already have for an investment contract and accompanying securities filings and turn them into submission-ready documents.

The core need is precise drafting: tightening the language, verifying that every clause tracks current federal and state regulations, and ensuring the filings follow the correct format, timing, and disclosure standards.

Context:

This is an early-stage private note offering (<$100k) under my LLC, which is tied to a Family Trust.

I plan to expand into larger Reg D offerings ($100k–$500k+) and potentially a syndicate/fund in the future.

Investors will be accredited only, and I may issue directly or via tokenization platforms like Securitize.

Deliverables:

Edit and expand the investment contract so it clearly sets out investor rights, risk factors, and payout terms.

Prepare the securities filing package, cross-checking each line item for compliance and flagging any gaps.

Provide a brief compliance memo summarizing key regulatory considerations before submission.

Ideal Experience:

Reg D 506(c), Form D, and Private Placement Memoranda.

Familiarity with Trust/LLC structures and secured notes (UCC filings).

Bonus: exposure to tokenized securities or digital platforms like Securitize.

Tone / Working Style:
I’m serious about compliance but also learning as I grow. I want an attorney who can execute precisely and also explain key considerations in plain English.

Final deliverables should be ready to file without additional legal review.
