I’m looking for an attorney who lives and breathes merchandise-trade contracts. My immediate priorities are twofold: first, to review the distribution agreements and supplier contracts I already have in place; second, to draft fresh versions that close the gaps we’ve uncovered as we scale into new territories.

Here’s the landscape you’ll step into:

• Current portfolio: several distribution and supplier agreements written over the past five years by different hands. They need a thorough legal health-check for enforceability, risk allocation, and alignment with current UCC, Incoterms, and relevant import-export regulations.
• Growth plan: new deals are queued up with overseas manufacturers and domestic wholesalers, so I also need clean, future-proof contract templates that we can adapt quickly.

Acceptance criteria
1. Red-lined feedback on each existing agreement, highlighting clauses to keep, modify, or strike.
2. Finalised revised versions ready for signature.
3. Two master templates—one for distribution, one for supply—drafted from scratch, including annexes for price revisions, quality control, delivery timelines, and dispute-resolution mechanisms.
4. Brief memo (≈2 pages) summarising key legal risks and your recommended mitigation steps.
