Deposit Compliance Blueprint

I run a small company with fewer than fifty employees and we’re now gearing up to accept deposits from our own members. Before we move forward, I need a qualified company secretary to map out every legal and procedural step involved under the Companies Act and allied rules.
Here’s what I expect to walk away with:
• A concise yet comprehensive report that explains the permitted structure for member deposits, citing the exact sections, rules and circulars that apply to a small-sized private company.
• A step-by-step compliance roadmap—beginning with board approval, through drafting the circular or advertisement (if needed), opening the designated bank account, filing e-form DPT-3, and ending with the annual return obligations.
• cheklist to check for upperlimits of deposits
Ready-to-use checklists covering statutory registers, timelines, interest caps, deposit limits and renewal/repayment procedures.
• An annual filing calendar in this regard with due dates and the supporting documents I must keep on file.
• Draft specimen documents: board and members’ resolutions, deposit application form, deposit receipt, register formats and any declarations required.
• Notes on common pitfalls for small companies—so we avoid inadvertent public‐deposit treatment or non-compliance penalties.
Please anchor the guidance around current MCA V3 portal practices and highlight any optional pathways that could simplify things for a small private company.
Deliver everything in an editable Word/PDF bundle, backed by cited sources and, where possible, hyperlinks to the relevant e-forms. I’ll consider the work complete once each checklist aligns with statutory requirements and I have a clear, logical flow I can follow without further clarification.
