UK-based consulting company specialising in proposal writing for R&D and innovation funding. We support clients such as universities, startups, and research centres in preparing competitive applications for programmes like Horizon Europe, Innovate UK, and national R&D schemes. The company operates on a project-by-project basis and has no physical presence or staff in the UK, with all work conducted remotely by the two beneficial owners. They used to live in the UK.

Nominee Director
- They must reside in the UK
- Appointment as sole listed director at Companies House (no co-directors or public visibility of the beneficial owners);
- The nominee will also act as the only listed PSC (Person with Significant Control);
Availability to sign commercial contracts, board resolutions, dividend documents, and similar items, as provided by our team;
- All documentation will be prepared by our team or legal representatives, and will not require discretion or review by the nominee.
- All documents to be signed electronically (PDF or e-signature) from within the UK, using a formal email address or signature block;
- The nominee will not be required to access any financial accounts, sign cheques, or communicate with clients, authorities, or suppliers.
Availability to confirm UK-based governance, if required by third parties.

Nominee Shareholder (50%)
- Holding 50% of company shares as nominee shareholder;
- Signature of a Declaration of Trust confirming that full beneficial ownership remains with the current owner;
- Signature of a Dividend Waiver Agreement permanently or for a defined period, confirming no entitlement to dividend income.

The structure is required to ensure:
- That the company remains formally managed and controlled from the UK,
- That all governance and reporting obligations are satisfied,
- And that there is no operational involvement or financial liability on the part of the nominee.
