I am forming a new corporate structure in the United Kingdom that consists of one parent holding company and two wholly owned subsidiaries. What I need, end-to-end, is expert guidance that gets each entity fully incorporated, legally compliant, and ready to trade with reliable books from day one.

First, you will handle the full Companies House registration for all three entities, including preparation and filing of the relevant INC documents and shareholder details. Straight after incorporation, I also need you to secure the correct HMRC tax registrations (CT, PAYE if required, and VAT where thresholds apply) so each company is ready for statutory filings and payroll.

Second, please draft the key legal paperwork: articles of association, shareholder agreements between the holding company and the two subsidiaries, and any inter-company service or loan agreements that support our internal trading model. All documents must align with UK company law and be delivered in editable Word/PDF formats.

Third, I want an accounting and bookkeeping framework in place before we raise our first invoice. That means recommending and setting up cloud software (e.g. Xero, QuickBooks, FreeAgent—open to your suggestion), creating a clean chart of accounts that reflects the group structure, and documenting simple month-end procedures we can follow internally.

I have not yet decided whether I need a formal business plan; if that becomes necessary, we can discuss it as an optional add-on once the core structure work is underway.
