Australian Resident Nominee Director Needed

Budget: $750 – $1,500 AUD

We have a private limited company in Australia and must satisfy the Corporations Act resident-director rule for the long haul—well beyond the first year. I therefore need an Australian citizen or permanent resident willing to serve as a nominee director on paper while operational control, decision-making and finances remain entirely with me.

Your role is straightforward: allow your name to appear on ASIC records, review and sign routine statutory filings, and be reachable should regulators request verification. There is no expectation that you invest, attend day-to-day meetings, or take operational responsibility. A standard indemnity deed will protect you from liabilities arising from actions taken without your knowledge, and I will maintain directors’ & officers’ insurance at all times.

What I expect from you
• Proof of residency and government-issued ID suitable for ASIC and bank KYC checks
• A concise service agreement outlining fees, renewal terms and exit clauses
• Prompt turnaround—48 h or less—on documents that need your signature
• Ongoing email or phone availability for any ASIC correspondence

What you can expect from me
• Prepared board resolutions, annual statements and any other paperwork drafted and queued for your signature—no heavy lifting required
• Full indemnification and coverage of D&O insurance premiums
• Timely payment of your agreed annual retainer plus any reasonable disbursements
