Developer will design and develop a service-based application including:
Customer Application
Engineer Application
Admin Panel
Billing & Payment System
The platform will work similar to a service marketplace (like Urban Company).
3. Core System Requirement (Very Important)
The system must clearly separate:
Service Charges (Company income)
Material/Parts Charges (Engineer income)
DrcoolCare will act only as a service platform, not as a seller of goods.
4. Payment Flow (Mandatory Logic)
Customer will make full payment to the company account.
The system must split the amount into:
Service Fee (Company Revenue – GST applicable)
Material Charges (Payable to Engineer – NOT company revenue)
Engineer payment will be released separately after a defined time (e.g., T+2 / T+3 days).
5. Billing System (Critical Requirement)
The system must generate:
(A) Company Invoice (GST)
Only service/commission amount
GST applicable
Must clearly mention:
“DrcoolCare does not sell any goods.”
(B) Engineer Bill (Non-GST / Independent)
Part name and amount
Must clearly mention:
“Material provided by independent service engineer.”
6. GST & Legal Responsibility
Developer must ensure that:
Service and material are NOT combined in billing
Platform is NOT shown as seller of goods
Payment breakup is clearly visible to customer
Any mistake in this structure may lead to GST liability on full amount.
7. Restrictions (Developer Must Follow)
Developer must NOT:
Combine service and material into one invoice
Show parts as company sale
Hide payment breakup
Create misleading billing structure
8. Ownership
Full source code, database, and system rights will belong to DrcoolCare after project completion.
Developer will not reuse, resell, or share this system with anyone.
9. Confidentiality
Developer agrees to keep all project data, logic, and system details confidential.
No information will be shared with any third party.
10. Payment Terms
Payment will be done in milestones.
Final payment will be released only after:
Full system delivery
Testing
Approval by company
11. Support
Developer must provide support for ______ days after delivery.
All bugs and errors must be fixed during this period without extra cost.
12. Failure & Termination
If developer fails to deliver the system properly:
Company has the right to stop the project
Pending payment may be withheld
13. Acceptance
Both parties agree to all terms mentioned above.
