We are only considering accountants based in Korea.
Objective:
We are seeking a qualified freelance accountant and company secretary to assist us in legally establishing three business companies (Yuhan Hoesa) in Korea. These companies will be registered under the names of nominee directors. We require comprehensive support to ensure full compliance with laws and regulations of Republic of Korea.
Scope of Work:
Company Formation:
Facilitate the incorporation of three business entities in Korea.
Ensure the companies are legally registered under the names of nominee directors.
Advise on the most suitable business structures and entities (e.g., Corporation, Partnership, etc.). Is Yuhan Hoesa the best type for our purposes?
Accounting Services:
Set up initial accounting systems and processes for each company.
Provide guidance on financial reporting and compliance with Korean accounting standards.
Assist in the preparation of financial statements, tax returns, and other necessary financial documentation.
Company Secretarial Services:
Handle the preparation and filing of incorporation documents.
Draft and maintain statutory records, including registers of directors and shareholders.
Prepare and file annual returns and other statutory filings with the relevant authorities.
Advise on compliance with corporate governance and regulatory requirements.
Documentation:
Prepare and submit all necessary documents for company registration.
Draft agreements related to nominee directorship.
Provide full documentation packages, including but not limited to:
Articles of Incorporation
By-laws
Shareholder agreements
Nominee director agreements
Compliance and regulatory documents
Minutes of the first board meeting
Liaison and Support:
Liaise with relevant Korean authorities and agencies as required.
Provide ongoing support and advice throughout the company formation process.
Deliverables:
Three fully registered business entities in Korea.
Complete and legally compliant documentation for each company.
A detailed report outlining the incorporation process, accounting setup, and compliance measures.
Requirements:
Proven experience in corporate accounting and company secretarial services in Korea.
