~Overview~
We are in search of a highly skilled Mergers & Acquisitions (M&A) Tax Specialist with a deep understanding of tax structuring in M&A transactions. The ideal candidate will possess the expertise to assess and navigate the tax implications from both the buyer's and seller's viewpoints.

~Core Responsibilities~
1) Advanced Tax Structuring: Thoroughly comprehend and advise on various transaction structures, including but not limited to:

-Asset Purchase vs. Stock Purchase vs. Deemed Asset Purchase
-Entity Structuring and Reorganization
-Seller Financing Mechanisms: Seller Notes, Rolled Equity, Earnouts, and Milestones
-Sale-Leaseback Arrangements
-Capital Stack Implications: Understand the tax implications of different sources and uses of capital such as Equity, SBA Loans, Mezzanine Financing, Traditional Loans, and other funding mechanisms.

2) Tax Optimization: Employ strategies to minimize the tax burden on both the buyer and the seller, ensuring optimal transaction value.

3) Counterparty Tax Considerations: Understand and navigate the tax perspective of the counterparty, ensuring smooth negotiations and transaction completion.

~Ideal Qualifications~
-Certified Public Accountant (CPA) credential strongly preferred
-Previous experience in a big to medium-sized accounting or financial firm
-Exceptional analytical and problem-solving skills
-Strong communication and negotiation abilities
