Company Secretary & Chartered Accountant

Job Overview: The Company Secretary & Chartered Accountant at Enteliglobe will play a pivotal role in managing the legal and regulatory affairs of the company, both on a domestic and international level. This position requires a highly skilled and knowledgeable professional with a deep understanding of corporate governance, legal compliance, and corporate secretarial practices.
Key Responsibilities:
1. Compliance Management:
• Ensure compliance with all applicable laws, regulations, and corporate governance guidelines.
• Maintain records and files necessary for compliance, such as registers, minutes of meetings, and statutory filings.
• Advise the company on legal and regulatory changes that may impact its operations.
2. Board and Shareholder Meetings:
• Organize and prepare agendas, notices, and minutes for board meetings and general meetings.
• Assist in the efficient conduct of meetings, ensuring proper documentation and follow-up actions.
3. Corporate Governance:
• Monitor and enhance corporate governance practices to align with best practices.
• Educate and guide the board of directors on their responsibilities and corporate governance principles.
4. Statutory Filings:
• Manage and oversee the preparation and filing of statutory documents with relevant authorities, such as the Registrar of Companies (RoC).
• Ensure timely filing of annual reports, financial statements, and other statutory returns.
5. Compliance Reporting:
• Prepare and submit compliance reports to the management and regulatory bodies as required.
• Maintain a record of all compliances and deadlines, proactively ensuring timely submissions.
6. Legal Support:
• Provide legal support and guidance to the company on various legal matters, contracts, and agreements.
• Liaise with external legal counsel when necessary.
7. Risk Management:
• Identify potential legal and compliance risks and develop strategies to mitigate them.
• Keep the management informed of emerging legal and regulatory issues.
8. International Affairs:
• Manage international legal and compliance matters, including overseas subsidiaries and operations.
• Ensure adherence to international regulations and compliance requirements.
Company Secretarial Duties:
1. Ensure compliance with all applicable laws and regulations, including Companies Act, 2013, and SEBI guidelines.
2. Prepare and maintain statutory records and registers, including minutes of meetings, share records, and board resolutions.
3. Facilitate board and shareholder meetings, including drafting agendas, notices, and minutes.
4. Manage filings with the Registrar of Companies (ROC) and other regulatory authorities.
5. Handle matters related to corporate restructuring, mergers, and acquisitions.
6. Maintain and update the company's Articles of Association and Memorandum of Association.
7. Provide advice on corporate governance best practices.
8. Stay updated on changes in corporate laws and regulations and ensure compliance.
Chartered Accountancy Duties:
1. Oversee financial accounting and reporting functions, including preparation of financial statements.
2. Manage tax planning, compliance, and reporting at the national and international levels.
3. Monitor and optimize the company's financial performance and cash flow.
4. Handle internal and external audits, ensuring timely completion and resolution of audit findings.
5. Manage and review payroll processing and employee taxation.
6. Ensure compliance with Goods and Services Tax (GST) and other indirect tax laws.
7. Develop and implement effective financial policies and procedures.
8. Advise on cost-saving strategies and financial risk management.
Qualifications:
1. Qualified Chartered Accountant (CA) with a valid membership of the Institute of Chartered Accountants of India (ICAI).
2. Company Secretary (CS) with a valid membership of the Institute of Company Secretaries of India (ICSI).
3. Minimum 10 years of relevant experience in a similar combined role.
4. In-depth knowledge of Indian & International corporate and taxation laws.
5. Strong understanding of international financial regulations and taxation is a plus.
6. Excellent communication and interpersonal skills.
7. Detail-oriented with strong analytical and problem-solving abilities.
8. Ability to work independently and handle confidential information.
